Our client a premier AmLaw 50 firm is seeking a driven Associate Attorney to join its high-performing Private Investment Funds (PIF) Group within the Private Equity Practice . This is an exciting opportunity to work on complex and private investment transactions for elite private equity sponsors direct lenders and financial institutions across a wide range of industries and deal structures.

Candidate Profile

• JD from a top-tier law school with an excellent academic record
• Active Bar Admission in the relevant jurisdiction in good standing or eligibility to obtain admission promptly
• 2 years of substantive experience in fund formation transactions with private investment funds focusing on the private equity real estate and / or tech industries
• Skilled in private placements under the 1933 Act managing unregistered funds under the Investment Company Act and familiar with the Investment Advisers Act
• Strong proficiency in drafting and negotiating fund formation documents and operational agreements ensuring compliance with applicable laws and regulations
• Demonstrated experience negotiating with fund investors and handling fund operational matters
• Prior experience at an AmLaw 100 or similarly sophisticated firm required
• Soft Skills : Excellent communication organizational and analytical abilities; experience managing complex workstreams and coordinating with multiple stakeholders; proven ability to thrive in a fast-paced high-performance environment
