Responsibilities

• Establish and lead all Regulatory, Compliance and Risk Framework working with the executive team in establishing GoNetZero's company policy, processes and controls to facilitate business transactions, as well as providing guidance and expanding this framework as GoNetZero quickly expands into new markets and deploys new products.
• Establish and lead all aspects of Corporate Governance, including Shareholder, Board and Committee management, Incorporations and Corporate Filings for GoNetZero, including managing requisite vendors to enable the desired outcomes.
• Lead all legal matters, including providing comprehensive legal advice to business stakeholders on a broad and emerging range of issues, including corporate governance, mergers and acquisitions, intellectual property, contracts, litigation, and compliance matters.
• Draft, review, and negotiate a wide variety of commercial contracts and agreements including sales and purchase agreements for Environmental Attributes (EA), Software as a Service (SaaS) agreements, licensing agreements, project consultancy agreements, and all ancillary agreements including NDAs, partnerships, subcontractors, etc.
• Review corporate transactions including mergers and acquisitions and related equity and debt agreements, term sheets, investment and shareholder agreements ensuring that they are legally sound and protect the company’s interests.
• Identify and mitigate legal risks across the business, helping to make informed decisions that align with GoNetZero goals.
• Work closely with cross-functional teams, including commercial, finance, and operation teams, to support business initiatives and resolve legal challenges.
• Keep abreast of changes in relevant laws and regulations, advising the organization on necessary adjustments to maintain compliance.
