Job Summary :

This position will provide guidance and consultation on a variety of legal matters including, but not limited to contract negotiations, merger and acquisition transactions, litigation, employment, and general corporate governance.

Essential Job Functions for the Corporate Counsel will include :

  • Reviewing, drafting, structuring, and negotiating agreements
  • Supporting M&A due diligence efforts and post-deal integration
  • Assisting pre-litigation and litigation efforts, including research and writing regarding legal issues, evidence-gathering, and maintaining a command of the relevant facts and law
  • Assisting, communicating with, and overseeing the work of outside counsel
  • Drafting and updating internal policies
  • Researching and advising on contractual, business law, corporate governance, and employment law matters
  • Contract administration
  • Maintaining a current working knowledge of new laws and regulatory developments
  • Performing other duties as assigned

    • Required Knowledge, Skills and Abilities :

  • Juris Doctor (J.D.)
  • Licensed to practice law in at least one state (Colorado preferred)
  • 3 years of experience in a law firm or in-house legal department
  • Experience in corporate law and M&A law preferred
  • Financial services experience preferred
  • Strong drafting, research and writing skills
  • Knowledge of and experience with federal securities law including the Investment Advisor Act of 1940 preferred
  • Ability to work effectively with teams and independently, as well as manage and prioritize multiple projects
  • Excellent communication, analytical and organizational skills

    • Work Schedule :

    Daytime and evening hours as needed.

    Working Conditions :

    Professional office environment (working from the office may be required, depending on team's needs). Will be assigned to a workstation. Standing and sitting. No heavy lifting over 10 lbs.

    Salary : Average annual salary range for this position across our locations is : $120,000 to $145,000. Actual base pay within this range will be based on a variety of factors, including but not limited to the applicant's geographic location, relevant experience, education, skills and licenses / certifications. This position is also eligible to earn incentive compensation through one of Mercer Advisors' incentive compensation programs.
