This role is responsible for ensuring seamless governance operations, facilitating strategic board-level initiatives, and supporting comprehensive corporate compliance as we scale from 100 to 200+ employees across multiple locations. The ideal candidate will bring a blend of corporate governance expertise, financial acumen, and exceptional organizational skills to help maintain our strong growth trajectory and operational excellence.Key ResponsibilitiesBoard Governance & Documentation Coordinate all aspects of board meetings including scheduling, agenda preparation, materials compilation, and follow-up action itemsDraft and maintain high-quality board minutes, resolutions, and other corporate governance documentationEnsure proper maintenance of corporate records in compliance with legal and regulatory requirementsManage the collection, organization, and distribution of board materials, ensuring executives have adequate preparation timeDevelop and maintain a governance calendar to track reporting deadlines, compliance requirements, and other key corporate datesCorporate Compliance & Risk Management Lead preparation for annual audits, ensuring all required documentation is organized and availableSupport dividend issuance processes, share repurchase transactions, and other corporate actionsMonitor corporate compliance requirements across multiple jurisdictions as the company expandsMaintain and update enterprise risk management documentation, regularly reporting to the leadership teamCollaborate with legal counsel on corporate governance matters, ensuring company practices align with industry standardsCross-Functional Reporting & Analysis Develop standardized reporting templates and processes for consistent board-level information sharingPartner with department heads to gather and synthesize information for executive and board reportingCreate dashboards and presentations that effectively communicate company performance metricsAnalyze competitive intelligence and market trends to inform strategic discussionsProvide data-driven insights to support board and executive decision-makingStrategic Projects & Initiatives Support special projects as directed by the executive team, particularly those requiring cross-departmental coordinationHelp identify process improvements for greater organizational efficiencyConduct research on corporate governance best practices and make recommendations for implementationAssist with due diligence activities related to potential partnerships or acquisitionsParticipate in strategic planning sessions to ensure alignment between board priorities and operational executionQualificationsBachelor's degree in Business, Finance, Accounting, or related field5+ years of progressive experience in corporate management or investment bankingDemonstrated experience working directly with C-level executives and / or boards of directorsStrong understanding of corporate compliance requirements and governance best practicesExceptional attention to detail and organizational skillsAdvanced proficiency with Microsoft Office suite, particularly Excel and PowerPointOutstanding written and verbal communication skillsAbility to handle confidential information with discretion and professionalismPreferred QualificationsMBA, Master's in Finance, or related advanced degreeExperience in investment banking, corporate development, or management consultingBackground in the gaming, entertainment, or technology industriesKnowledge of corporate transaction documentation (dividends, share repurchases)Experience supporting rapidly scaling organizations (50-250 employees)Familiarity with board management software platformsDiversity Commitment : We are focused on building a diverse and inclusive team.
