Corporate Paralegal (Downers Grove)

Job Summary :

Seeking a Corporate Paralegal to support a small, collaborative legal department. This role reports to the team's Corporate Secretary and will handle matters of corporate governance, compliance, SEC filings, subsidiary management, financings, M&A, and litigation support.

Key Responsibilities :

• Prepare and distribute Board / Committee agendas, materials, and minutes.
• Manage subsidiary formations, qualifications, dissolutions, and filings.
• Maintain corporate and subsidiary records.
• Assist with NYSE and SEC filings (Forms 3, 4, 5, 8-K, 10-K, 10-Q, Proxy Statements).
• Coordinate annual meeting materials and voting results.
• Support Code of Conduct training and compliance tracking.
• Assist with regulatory filings (e.g., FERC, mining permits).
• Organize documentation and closing for financings and M&A.
• Manage virtual data rooms for due diligence.
• Administer legal holds, discovery, and litigation documentation.
• Track Legal Department budget and vendor onboarding.
