Corporate Attorney - Transportation Industry

• Responsibilities & Duties
• Draft, revise, and negotiate equipment lease and rental agreements for new and existing customers.
• Provide legal advice and support to PLM Fleet on various legal issues, including contracts, employment, intellectual property, real estate, mergers and acquisitions, and regulatory compliance.
• Prepare corporate governance documents, such as resolutions, and member meeting minutes. Maintain corporate records.
• Draft and review non-disclosure and confidentiality agreements, contracts, service agreements, and other legal documents.
• Draft, revise, and negotiate branch real property leases for new and existing branch locations.
• Retain and manage outside counsel for individual matters or litigation.
• Manage defense counsel assigned by the Company’s insurance carriers for litigation.
• Prepare discovery responses and assist assigned counsel in litigation strategy, mediation, and settlement.
• Support outside counsel handling trademark and patent filings and renewals.
• Conduct legal research and analyze complex legal issues.
• Stay up to date on changes in relevant laws and regulations.
• Provide training and guidance to functional departments on legal matters.
• Assist and advise Risk Management and Operations regarding insurance damage and total loss claims.
• Required Qualifications & Skills
• Experience in equipment leasing, fleet leasing or financial services industry work.
• Experience with contracts, real property leases, governance, and regulatory compliance.
• Experience with corporate governance including board meetings and corporate resolutions.
• Experience with employment laws and regulations.
• Working knowledge of patent and trademark law.
• Strong research, writing, and verbal communication skills.
• Ability to analyze complex legal issues and provide clear and concise advice.
• Excellent problem-solving skills and the ability to think creatively.
• Strong interpersonal skills and the ability to work well in a team environment.
• Juris Doctor degree from an accredited law school.
• Admission to a state bar in good standing. xuwmhxw
• Minimum of 7-10 years of experience.

Job Type : Full-time

Pay : $175,000.00 - $190,000.00 per year
