A regional law firm is seeking a Corporate Legal Assistant / Paralegal to join their Colorado Springs, CO office. This role is fully in-office and ideal for someone who thrives in a fast-paced, team-centered environment.
Responsibilities :
- Support attorneys with corporate governance tasks, entity formations, and ongoing corporate maintenance
- Draft, revise, and proofread corporate documents, including operating agreements, bylaws, minutes, resolutions, and transactional correspondence
- Manage corporate filings, annual reports, and compliance calendars across multiple jurisdictions
- Assist with due diligence for corporate transactions, including organizing and reviewing contracts, certificates, and related documentation
- Prepare and maintain corporate records books and cap tables
- Coordinate closings, prepare closing checklists, and manage document signatures and post-closing follow-up
- Conduct legal and factual research related to corporate matters
- Track and record billable time for client work
Qualifications :
Minimum 2+ years of corporate or transactional legal experienceStrong organizational skills and exceptional attention to detailAbility to manage multiple entities, projects, and deadlines across attorneysProficiency in Microsoft Office; experience with corporate management platforms and Secretary of State filing systems is preferredExcellent written and verbal communication skills and the ability to interact professionally with clients and internal teamsTeam-oriented, proactive, and adaptable to firm processes and attorney needsMust be able to commute daily to the firm's Colorado Springs, CO officeSalary : $50-$70k / yr.
