The Role
We're looking for a General Counsel to lead our legal function and protect Custom Capital's interests across all business activities. This is a strategic leadership role for an experienced attorney who can build legal infrastructure, provide transactional counsel, and guide the company through rapid growth.
You'll provide legal oversight for all transactions, negotiate complex agreements, manage external counsel relationships, and advise executive leadership on risk and compliance matters. This role reports directly to the COO and serves on the extended leadership team.
What You'll Do
- Lead Legal Strategy : Build and oversee Custom Capital's legal function. Develop policies, procedures, and governance frameworks that support sustainable growth.
- Oversee Transaction Documentation : Review and negotiate PSAs, assignment agreements, lending documents, and investor agreements. Ensure all transactions are properly structured and documented.
- Manage Corporate Governance : Advise the Board and executive team on corporate governance matters. Ensure compliance with regulatory requirements and corporate best practices.
- Provide Risk Management : Identify and mitigate legal risks across business operations. Develop frameworks for risk assessment and management.
- Coordinate External Counsel : Manage relationships with outside law firms. Direct external resources efficiently while controlling legal spend.
- Support Investor Matters : Advise on investor agreements, SPE structures, and regulatory compliance related to our shared family office model.
- Advise on Lending Relationships : Review loan documents, support lender negotiations, and ensure Custom Capital's unique 3-leg transaction structure is properly understood and documented.
- Build the Legal Function : Hire and develop legal team members as the company scales. Create infrastructure for efficient legal operations.
Who You Are
10+ years of legal experience with significant commercial real estate focus, including transactional work, corporate governance, and business advisory. In-house experience at a CRE company, private equity firm, or similar environment preferred.CRE transaction expertise— deep experience with commercial real estate acquisitions, including PSAs, title matters, due diligence, and closings. NNN or single-tenant retail experience is a plus.Business-oriented mindset— you're a problem-solver who finds ways to get deals done, not a roadblock. You understand that legal serves business objectives.Corporate governance experience— familiarity with board matters, entity structures, and regulatory compliance.Leadership capabilities— experience building and managing legal teams or functions.
