Our client is looking for a Contract Analyst to expand their growing legal team in the San Francisco Bay area. This is a full-time position.
Essential Responsibilities :
Thorough evaluation and feedback on contracts, covering legal clauses, relevant laws, and internal regulations.
Collaborates with multiple departments and committees to ensure adherence to the stipulations found in proposals, contracts, NDAs, and similar documents.
Engages with requestors to create and support the drafting of suitable contracts, amendments, teaming agreements, NDAs, and more.
Adds clarification to inquiries regarding the understanding, stipulations, terms, and restrictions of legal agreements and contracts.
Negotiates contract terms with clients or subcontractors as necessary.
Conducts research using various techniques to assess the compliance of proposed contracts (e.g., public contracts, government standards, labor regulations, state contractor licensing boards, prevailing wage laws, etc.) to provide compliance recommendations.
Participates in training sessions, workshops, or other professional growth opportunities to stay updated on current knowledge and spot new trends relevant to assigned responsibilities.
Collaborates with the RMS team on research and updates to Company Standard Forms as required.
Manages correspondence to and from RMS with confidentiality, when necessary.
Aids in the editing and development of the firm’s standard engineering contracts.
Assists in researching and drafting specification provisions for construction documents.
Reviews specifications for necessary legal updates periodically.
Produces correspondence, reports, and agreements as instructed.
Investigates legal matters concerning the company, including corporate law, qualification for business operations in various jurisdictions (both domestic and international), as well as other issues, utilizing the Internet and Westlaw.
Researches entry requirements for employees traveling internationally for business purposes (visas, etc.).
Prepares or oversees state-specific business and professional filings for the company.
