Our client, a leading global manufacturer, is seeking an securities counsel to join their legal team and provide expert guidance on SEC compliance & corporate governance to the executive leadership team(s).
Responsibilities :
Provide expert legal advice on SEC compliance, including the Securities Act of 1933, the Securities Exchange Act of 1934, and related SEC rules and regulations.
Develop, implement, and maintain corporate governance policies and practices to ensure compliance with legal and regulatory requirements.
Advise on matters related to insider trading, including the development and enforcement of insider trading policies.
Oversee executive compensation and benefits programs, ensuring compliance with applicable laws and regulations.
Conduct regular compliance audits and risk assessments to identify potential areas of vulnerability and implement corrective actions.
Monitor and analyze regulatory developments and trends to ensure the company remains compliant with new and existing laws.
Prepare and file required regulatory reports and disclosures.
Collaborate with internal teams, including legal, finance, HR, and operations, to provide comprehensive legal support.
Conduct training sessions for employees on compliance, corporate governance, insider trading, and executive compensation-related topics.
Manage and respond to regulatory inquiries and examinations from various regulatory bodies, including the SEC.
Represent the company in interactions with regulatory bodies and external stakeholders.
Qualifications :
Juris Doctor (JD) degree from an accredited law school.
Active bar membership in good standing.
Minimum of 6 years of experience in securities law.
In-depth knowledge of federal securities laws, SEC regulations, and corporate governance principles.
Strong understanding of insider trading laws and executive compensation regulations.
Excellent analytical, problem-solving, and organizational skills.
Strong written and verbal communication skills.
Ability to work independently and as part of a team.
