KEY CONTRIBUTIONS
- Perform complex paralegal duties requiring knowledge of legal terminology and legal processes from matter inception to completion.
- Draft and file corporate formation, registration, amendment, and dissolution documents, including operating agreements, Bylaws, minutes, EIN applications, and other similar applications and documents.
- Prepare closing documents, transaction checklists, closing binders, and settlement documents.
- Conduct due diligence, legal research, UCC, lien and litigation searches, Secretary of State searches and other relevant research and searches.
- Prepare organizational charts, corporate information summaries, reports, correspondence and other similar documents.
- Develop and maintain electronic databases and virtual data rooms for due diligence and corporate documentation.
- Maintain and manage calendars for applicable transaction, annual report, and annual meeting dates and deadlines.
- Communicate with vendors, clients, attorneys and other parties as needed.
- Other responsibilities as needed.
