The National WWII Museum is currently seeking Corporate Counsel to provide comprehensive legal advice, consultation, and support to various Museum departments ensuring compliance with laws, regulations, and intellectual property rights while protecting the Museum’s assets. The position reports to the Executive VP and CFO but will also work closely with the CEO and other senior management. The position is responsible for collaborating with external legal counsel as appropriate.
Requirements :
- Provide legal counsel and guidance to leadership staff on a wide range of issues including governance, contract review, vendor issues, compliance with laws and regulations, risk management, intellectual property matters, and transactions / acquisitions.
- Work with outside counsel as needed.
- Oversee all in-house legal documentation and communication, such as compliance training, policies, and employee safety regulations.
- Oversee the Museum’s contract management function. Drafts, reviews, and negotiates contracts, agreements, and other legal documents.
- Monitor and ensures compliance with applicable laws, regulations, and internal policies.
- Manage any legal disputes or claims involving the Museum, working with external counsel, as necessary.
- Identify potential legal risks and develops strategies to mitigate them.
- Support the EVP and CFO in managing the risk management function. including assistance with the business insurance program and an enterprise risk management assessment.
- Participate in preparation for board meetings.
- Oversee the Museum’s rights management : Work collaboratively across departments to ensure the Museum’s adherence to best practices for rights and reproductions, including rights in and rights out. Develop and implement a plan to manage the rights renewals for licensed images, video, and other materials in use by the Museum including, but not limited to, in permanent and traveling exhibits, Museum publications, Museum digital productions, and on-campus public spaces. Liaise and negotiate with copyright holders to secure licenses for exhibits, published materials, and other Museum projects as assigned.
- Stays up to date on local, state, and federal law relevant to the Museum and its operations.
