Job descriptionJuris Doctor (JD) degree from an accredited law school. Active bar membership in good standing. Minimum of 6 years of experience in securities law. Our client, a leading global manufacturer, is seeking an securities counsel to join their legal team and provide expert guidance on SEC compliance & corporate governance to the executive leadership team(s).
Responsibilities :
- Provide expert legal advice on SEC compliance, including the Securities Act of 1933, the Securities Exchange Act of 1934, and related SEC rules and regulations.
- Develop, implement, and maintain corporate governance policies and practices to ensure compliance with legal and regulatory requirements.
- Advise on matters related to insider trading, including the development and enforcement of insider trading policies.
- Oversee executive compensation and benefits programs, ensuring compliance with applicable laws and regulations.
- Conduct regular compliance audits and risk assessments to identify potential areas of vulnerability and implement corrective actions.
- Monitor and analyze regulatory developments and trends to ensure the company remains compliant with new and existing laws.
- Prepare and file required regulatory reports and disclosures.
- Collaborate with internal teams, including legal, finance, HR, and operations, to provide comprehensive legal support.
- Conduct training sessions for employees on compliance, corporate governance, insider trading, and executive compensation-related topics.
- Manage and respond to regulatory inquiries and examinations from various regulatory bodies, including the SEC.
- Represent the company in interactions with regulatory bodies and external stakeholders.
