Key responsibilities include maintaining corporate records, managing board meetings and minutes, preparing legal documents, scheduling meetings, coordinating correspondence, and ensuring compliance with applicable laws and regulations. This role reports to the General Counsel of the organization and operates under the direction of attorneys. Responsibilities Prepare, distribute, and file meeting material such as agendas, proxy statements, and minutes for the Board of Directors Maintain relevant board committee information regarding the directors' terms and principal officers Manage the board nomination process by maintaining a list of communications with candidates and coordinating the interviews Conduct comprehensive research and maintain knowledge of pertinent laws and regulations for the National Credit Union Administration (NCUA) and Office of Financial Regulations (OFR) Collaborate with internal and external legal teams during proceedings impacting the board, committees, bylaws, or insurance matters Maintain corporate records including the bylaws and bylaw amendments, ensuring compliance with all legal and regulatory requirements Support Suncoast’s senior management by proactively identifying and mitigating legal risks related to compliance Coordinate annual membership meetings including the logistics, agenda, and voting Serve as liaison between the board and senior management by communicating information and updates in a prompt manner Administer the board and supervisory committee’s annual compliance, onboarding, and continuing education requirements Draft, format, and revise legal documents under the general direction of an attorney, proofreading for accuracy and ease of reading Manage the organization’s bylaws and insurance policy Research member complaints, provide direction to the board and supervisory committee, and collaborate with appropriate business leaders for further response to the inquiries Collaborate with departments to implement workflows that enhance productivity and create increased efficiencies within the organization Collaborate with the compliance team to ensure compliance with regulatory requirements, policies, and procedures Manage the board and supervisory committee’s reimbursement process including the balancing of corporate credit card accounts Oversee all travel arrangements and conference registrations Execute special projects and assignments as directed by the Legal Department attorneys Maintain knowledge and understanding of current trends, laws, and issues within the financial services industry Attend job-specific training classes to increase professional knowledge Qualifications Bachelor's degree in business administration, law or a related field (A comparable combination of work experience and training may be substituted for education requirements) 5+ years of corporate or business governance experience preferably including legal administration with a financial institution or a private law firm Proven experience as a Corporate Secretary, with a background in paralegal work Proficient knowledge of Florida banking and governance laws Experience with a credit union preferred Proficient knowledge of a wide range of corporate governance, legal issues, and disciplines at a financial institution or other financial services company Strong organization skills with superior attention to detail and accuracy Ability to prioritize tasks by effectively managing competing and changing priorities to meet required deadlines Strong analytical skills to study Suncoast’s operations and business model Advanced knowledge of relevant software including Microsoft Office, Word, Excel, PowerPoint, and Westlaw Strong knowledge and understanding of Robert’s Rules of Order Strong written, verbal, and interpersonal communication skills to interact effectively with members, staff, vendors, and government regulators Ability to influence others regarding policies, practices, and procedures
