We are looking for an upbeat, analytical, proactive, and detailed attorney to join our Governance, Disclosure and Benefits team in the Freddie Mac Legal Division as an Associate General Counsel. Apply now and learn more about this opportunity!

Our Impact

The Governance, Disclosure and Benefits team provides critical legal advice and support for the Company's SEC reporting, including its Annual Reports on Form 10-K, Quarterly Reports on Form 10-Q, and Current Reports on Form 8-K, and related legal requirements.

We provide legal and governance advice to the Company's Board of Directors and its committees, and manage corporate governance matters, including board reporting, independence, recruitment, orientation, and maintenance of the Company's governance documents as well as the Company's corporate secretary function, including management of the Company's delegations of authority, issuance of transactional and other certificates, and officer appointments.

We collaborate with individuals and executives throughout the company to support our external reporting, corporate governance, investor relations, and corporate communications functions and to help ensure that we are following applicable legal and regulatory requirements.

We provide support to Single-Family and Multifamily securities attorneys on disclosure matters and corporate regulatory policy, including natural disasters, consumer privacy, and cybersecurity incidents.

Other responsibilities of our team include providing legal advice on applicable legal and regulatory developments, equity security issuances and related disclosure documents, applicable listing requirements, and other financial disclosure and securities law related matters.

We also are responsible for the Company's benefits and compensation functions, including providing legal advice to the Board, management and fiduciary committees concerning employee benefits and executive compensation matters, plus related guidelines, initiatives, regulatory requirements, corporate restructurings and associated workforce changes.

Your Impact

In this role, you will have the opportunity to serve as a key member of the Governance, Disclosure and Benefits team. You will use your knowledge and expertise to :

Provide legal advice on securities laws and requirements, such as the SEC's periodic reporting requirements (including the drafting of 10-K, 10-Q, and 8-K disclosure), beneficial ownership reporting requirements, Regulation FD, and insider trading laws;

Provide general support for the operation of the Company's Board of Directors and its committees, including drafting and reviewing committee materials, resolutions, meeting minutes and company policies;

Assist in the analysis of legal, regulatory, and policy developments affecting Freddie Mac's SEC reporting and equity securities offerings;

Support Freddie Mac External Reporting, Investor Relations, and Corporate Communications teams;

Interact directly and collaboratively with business areas across the company, outside counsel, and other third parties with respect to governance and disclosure matters; and

Collaborate with members of the team and the Legal Division and coordinate the legal review of certain SEC reports and other external communications.

Qualifications

Juris Doctor (JD) degree; membership in good standing in a state Bar; and a minimum of 10 years of legal experience.

Experience providing legal advice on federal securities laws and requirements – including periodic reporting requirements, beneficial ownership reporting requirements, Regulation FD, and insider trading laws – in a law firm or corporate law department or at the Securities and Exchange Commission.

Experience drafting disclosure for periodic reports (Form 10-Ks (including Part III disclosures), Form 10-Qs, and Form 8-Ks) and beneficial ownership reports filed with the SEC as well as disclosure documents for equity securities offerings.

Experience advising Boards of Directors and Committees on corporate governance matters.

Experience providing guidance regarding executive compensation and benefits matters.

Experience providing legal advice and support to the executive team as well as to the finance, investor relations, and corporate communications functions.

Ability to work independently and in a fast-paced environment.

A background in business, finance, or accounting is a plus.

Ability to remain agile and adaptable in a dynamic corporate environment.

This position has an annualized market-based salary range of $224,000 - $336,000 and is eligible to participate in the annual incentive program. The final salary offered will generally fall within this range and is dependent on various factors including but not limited to the responsibilities of the position, experience, skill set, internal pay equity and other relevant qualifications of the applicant.
