What we’re looking for
Cross River is currently seeking candidates for a Senior Corporate Counsel reporting to the Deputy General Counsel. The successful candidate must have demonstrated legal work experience as an attorney with a recognized U.S. law firm and / or in-house with a financial institution, fintech company or technology company. She / he should also have experience advising on general corporate matters, contract agreements, employment and banking. Demonstrated strong judgement, market knowledge and decision-making skills are critical to successfully lead projects, manage transactions and oversee outside counsel. Candidates must possess excellent communication skills, a strong commitment to client service, ability to handle multiple matters, and the ability to work independently in a fast-paced team environment.
Role Responsibilities :
- Provide legal advice and counsel, and legal interpretation, to management on a wide range of legal matters, including vendor IT / SAAS agreements, donation and sponsorship agreements, general transaction matters
- Drafting, review and approval of company agreements, including key agreements relating to customers, partnership arrangements, suppliers and vendors, payers, clients, and licensing.
- Provide legal advice and counsel relating to general employment practice matters and employment related litigation
- Support strategic activities including ventures, acquisitions or other significant transactions—from the earliest stages in the process, through due diligence, preparation of deal terms, negotiation of deal documents, to closing and post-deal integration
- Strong interest in advising companies on legal issues relating to artificial intelligence, including implementing use of AI in the legal department and drafting contracts for AI related transactions or vendor contracts with AI use with a keen focus on providing strategic guidance navigating the legal landscape of AI technology
- Assist in the development of standardized contractual forms across business lines
- Oversee work required from outside counsel, where required
- Provide clear and concise guidance to business units, particularly on novel and complex legal issues
- Proactively collaborate with stakeholders across the enterprise, including compliance, technology, risk, operations and other key partners
- Support other projects to support the legal department as necessary

Juris Doctorate degree required, along with admission to a NY / NJ State Bar8+ years’ experience as an attorney (minimum of 2 years in-house)Excellent knowledge and understanding of corporate law and proceduresKnowledge and experience with laws, rules and regulations applicable to U.S. public companies (including those relating to the transition from a private to a public company)Experience managing relationships with managers and HR business partnersExperience with intellectual property and M&A matters, a plusExperience of working with consumer finance laws and regulations, risk management, and fintech, a plusFull comprehension of the influences of the external environment of a corporationHigh degree of professional ethics and integritySound judgement and ability to analyze situations and informationHybrid role located in Fort Lee, NJLI-JJ1 #LI-Hybrid #LI-Onsite
Salary Range : $250,000.00 - $300,000.00
