Interim M&A and Transactions Attorney

Overview

Major, Lindsey & Africa's Interim Legal Talent group immediately needs an M&A and Transactions Attorney.

Our client seeks an attorney responsible for M&A and healthcare transactions work, including strategic affiliations, JVs, and divestitures.

Our client is a hospital system.

Experience

Minimum of 5-10 years of relevant in-house healthcare legal experience.

Location

Remote, but applicants must reside and be barred in either California or Washington state.

Responsibilities

• Serve as transactional counsel on M&A and strategic projects, from initial structuring and due diligence through closing and integration.
• Draft and negotiate healthcare transaction documents, including purchase agreements, joint venture and affiliation agreements, term sheets, and NDAs.
• Lead and coordinate legal due diligence efforts and assess legal and regulatory risks.
• Collaborate with internal legal colleagues, operational leaders, and outside counsel to ensure alignment with legal, business, and mission objectives.
• Advise on regulatory and compliance considerations related to healthcare transactions (e.g., Stark Law, Anti-Kickback Statute, HIPAA, and tax-exempt organization requirements). Provide counsel on regulatory compliance.
• Support and advise business teams on legal risks and opportunities as related to entity structuring and healthcare delivery models.
• Manage outside counsel relationships for complex transactions.
