Associate Corporate Counsel
Base pay range : $190,000 - $215,000 per year.
Role Summary
We are seeking a kind, hardworking, professional, and collaborative corporate attorney to join our legal team, which comprises members of like character. Under the CLO’s direction, you will perform consultative and advisory work involving complex and highly critical organizational issues and oversee the legal processes necessary to effect the rights, privileges, and obligations of the organization. This work is characterized by unique questions that require a high degree of original and creative legal endeavor and may require extensive research and technical expertise in areas such as finance or critical business operations.
Responsibilities
- Corporate Legal Strategy & Governance – Advise on general corporate legal matters and governance, including board documentation and committee participation. Anticipate legal and commercial risks, offering creative solutions aligned with corporate goals.
- Contract & Policy Management – Draft, review, and negotiate a wide range of contracts (IT, vendor, client, reinsurance, investment). Maintain and improve contract templates and management processes. Review insurance policies and assist in reinsurance negotiations.
- Regulatory, Compliance & Privacy – Provide guidance on regulatory requirements, privacy laws (PHI / PI), and data security. Support compliance efforts including audits, investigations, and policy development.
- Employment & Departmental Legal Support – Advise on employment law, benefits, compensation, and employee relations. Serve as legal liaison to departments such as HR, IT, Facilities, and Communications.
- Investment & IT Security Support – Support investment team with legal risk assessments and side letter negotiations. Advise IT security on data protection practices.
- Litigation, Research & Special Initiatives – Assist with litigation matters and conduct legal research and analysis. Lead strategic legal projects and initiatives that support business growth.
- Provide day‑to‑day guidance, direction, and mentorship to junior staff under the Associate Corporate Counsel’s supervision.
- Perform other duties as required by the position.
Qualifications
Education & Experience :
Juris Doctor Degree10+ years of experience as a corporate-law attorneyExperience as in‑house counsel, in a medium‑to‑large law firm, or equivalent legal settingSubstantial experience drafting, revising, and negotiating contractsPrior employee management requiredExperience in insurance (or other regulated) industry, drafting insurance policies, negotiating reinsurance contracts and private equity investment agreements, responding to 93A demand letters, drafting insurance coverage opinions, and handling employment and data privacy / security matters (preferred)CIPP / US certification (preferred)Must be a member of, and in good standing with, the Massachusetts barSkills :
