Talis Group is proud to partner with a respected, growing company seeking an experienced Senior Corporate Paralegal to join their Louisville team. This is a key, high-visibility role reporting directly to the Vice President and working closely with the Chief Legal Officer. Responsibilities include drafting and reviewing new leases, lease management and administration, serving as main point of contact with landlords and property managers and providing backup support in general corporate and franchise matters.

Highlighted Duties :
- Manage all aspects of corporate and franchise lease administration.
- Track, monitor, report and update all key lease dates in accordance with established alert date interval protocols, including lease expirations, terminations, renewal options, performing necessary action items and follow-up as well as maintaining critical date reports.
- Function as main point of contact with landlords and internal departments including for maintenance, rent, default and other property issues.
- Review year-end reconciliation invoices and conduct audits for year-end Common Area Maintenance, Insurance and Real Estate Tax reconciliations; perform accurate and detailed reconciliations of expenses and work with landlords to resolve discrepancies and to authorize additional payments or credits.
- Perform recurring and non-recurring rent processing monthly for all locations, perform invoice compliance review to validate expenses. Prepare and distribute monthly rent file and month over month variance reports.
- Coordinate Certificate of Insurance requirements for both Tenant and company-owned properties
- Draft Landlord and Tenant communications.
- Estoppel and SNDA fact confirmation and processing.
- Assist with drafting LOIs and Real Estate Purchase and Sales Agreements.
- Corporate Governance Serve as back up for drafting corporate resolutions, maintaining corporate minute books and state filings.
- Franchising Serve as back up for preparation of franchise agreements, amendments and terminations.
- Contracts Review and redline various vendor contracts for company compliance.
Highlighted Requirements :
5+ years of paralegal experience focused in the areas of commercial real estate, lease administration, and / or corporate governance and transactional / contract law.Strong background drafting lease agreements, landlord / tenant communications, governance documents, purchase agreements, and service agreements.Proven experience with state filings, regulatory compliance and contract reviews.Exceptional organizational skills, attention to detail, and clear communication.Proficiency in Microsoft Office Suite.This information is a brief job summary for recruiting purposes only and does not constitute the entire job description, duties, or requirements.
