Opportunity

We are seeking an experienced Corporate Counsel to join our dynamic legal team at Tools for Humanity. In this role, you will advise on corporate governance, securities law, and strategic transactions that support key business initiatives. You’ll work on novel legal issues in the blockchain space and help shape the legal infrastructure behind our global mission. You will also draft and negotiate commercial agreements with vendors, partners, and service providers. This role requires a proactive and organized individual who thrives in managing cross-border projects in a fast-paced environment.

Responsibilities

Corporate & Securities

  • Advise on complex issues – Provide strategic guidance on corporate and securities matters across multiple jurisdictions.
  • Corporate governance – Maintain corporate records and filings for our US parent, international subsidiaries, and joint ventures; support Board and Committee meetings.
  • Strategic transactions – Structure and execute M&A, investments, and other strategic initiatives.
  • Equity & token management – Partner with Finance and stock / token administration teams on equity and token matters.
  • Draft & review corporate documents – Prepare and manage charters, consents, disclosure schedules, and related governance materials.

Commercial Contracts

  • Support the commercial contracts function by negotiating partnership, customer, vendor and other complex commercial agreements.
  • About You

  • Relevant Experience : 5–10+ years as a Corporate, M&A, or Emerging Companies attorney at a top firm or in-house. No prior Web3 or blockchain experience required.
  • In-Person : Able to generally be in the office in San Francisco, CA at least 5 days per week.
  • Communication & Relationship Building : Excellent communicator with the ability to present complex legal issues clearly and build high-trust relationships across teams and with external partners.
  • Judgment & Integrity : Demonstrates sound judgment, professionalism, discretion, and integrity in all interactions.
  • Adaptability & Initiative : Positive and collaborative attitude with intellectual curiosity, resourcefulness, and comfort working in a fast-paced, evolving environment.
  • Attention to Detail : Exceptional attention to detail and organizational skills, with a track record of improving processes.
  • Execution & Problem-Solving : Skilled at managing multiple priorities and solving both traditional and novel legal challenges.
  • Willingness to Travel : Open to occasional international travel and flexible scheduling based on team needs.

    The reasonably estimated salary for this role at TFH ranges from $234,000 - $270,000 , plus a competitive long term incentive package. Actual compensation is based on factors such as the candidate's skills, qualifications, and experience.
