Title: Corporate Attorney

Location: Walden, NY (Orange County) - Fully in Office

Salary: $125,000 - $225,000 + Bonus

Growing Established Law Firm Seeks a New Corporate Attorney to join their team!

Responsibilities:
• Draft, review, and negotiate a wide range of commercial agreements, including vendor contracts, service agreements, non-disclosure agreements, and employment contracts.
• Advise on corporate governance matters, including compliance with federal and state regulations, conducting board meetings, and drafting shareholder agreements.
• Assist with mergers, acquisitions, joint ventures, and other corporate transactions, including due diligence, structuring deals, and drafting transaction documents.
• Ensure the company complies with applicable laws and regulations, including securities laws, antitrust laws, data protection laws, and industry-specific regulations.
• Work with external legal counsel to manage and resolve business-related litigation and disputes.
• Provide counsel on the protection and enforcement of intellectual property rights, including patents, trademarks, copyrights, and trade secrets.
• Identify potential legal risks and liabilities and provide strategic guidance to senior management to mitigate them.
• Offer proactive legal advice to internal departments, including finance, marketing, HR, and operations, to ensure legal compliance and minimize risks.
• Conduct legal research on emerging legal issues and industry-specific trends that may impact the company

Skills & Experience:
• Active New York Bar Admission
• Juris Doctor from an accredited law school
• 5+ years' experience in corporate law; Specifically in M&A, Corporate Governance & Contract Law
• Experience with drafting & negotiating complex legal documents.
• Experience in tech / healthcare & finance industries a plus
• In-house counsel experience a plus
• Bi/Multilingual a plus for international corporate clients
