It maintains one of the largest air and ground networks for time-sensitive medical and surgical services, particularly for organ transplantation and cardiovascular procedures. This includes integrated logistics, organ recovery, and perfusion services designed to serve healthcare institutions nationwide.
Key Responsibilities
- Securities and Disclosures : Manage securities-related tasks like SEC filings (Forms 144, 10-K, 10-Q, 8-K, S-8, etc.), stock issuance, tax compliance, and public disclosures.
- Strategic Transactions : Lead legal aspects of mergers, acquisitions, investments, and related transactions.
- Equity and Compensation : Oversee equity administration, executive compensation, and employee relations, collaborating with HR, finance, and legal teams.
- Corporate Governance : Drive corporate governance efforts, including board meeting documentation, subsidiary management, and the establishment of company policies.
- Contract Management : Offer legal support for contracts across all divisions and subsidiaries.
- Legal Department Leadership : Build and enhance an efficient legal function, including contract repository and templates tailored to business needs.
- Risk Management : Oversee insurance portfolios, litigation, and external counsel management, ensuring proper budget oversight.
Qualifications
Juris Doctor with active bar membership (New York required).Residency near New York City required; fully in-office role.Minimum of 5 years of relevant experience, including public company or capital markets. Additional experience in healthcare, aviation, equity management, and M& A is a plus.Strong ability to work autonomously, think strategically, and approach problem-solving independently.Exceptional communication, organization, and interpersonal skills.
