STATUS : Non-Exempt

Type : Full Time

Smith Anderson is a well-established and dynamic mid-size law firm, providing top-tier legal services to clients across a range of industries. We value a collaborative, innovative, and an inclusive culture. We are looking for a Corporate Paralegal to join our legal team. This role offers the opportunity to work in a fast-paced, professional environment supporting attorneys in a wide range of corporate transactions. The ideal candidate will be detail-oriented, proactive, and thrive in a setting that demands accuracy, efficiency, and strong communication skills.

The Paralegal is responsible for providing support to attorneys. Under the direction of an attorney, with minimal supervision, the Paralegal would assist with all aspects of corporate transactions. Must possess a high level of communication skills (written and verbal). Trust, accuracy, and ability to multitask under pressure are important to this position. This is an excellent opportunity for those who excel at managing multiple projects and tasks, are proficient at using software, have acute attention to detail and enjoy a professional environment.

This position is eligible for a hybrid working schedule.

Duties include but are not limited to :

  • Preparing and maintaining corporate minute books / records, stock ledgers, stock option ledgers, capitalization charts, and waterfalls.
  • Assisting with private equity and M&A transactions
  • Preparing formation documents
  • Assembling transactional closing documents and closing binders
  • Reviewing and analyzing closing documents for completeness
  • Assembling signature packets for transaction closing documents
  • Maintaining transaction checklists with attorney input
  • Preparing and filing documents with the North Carolina and Delaware Secretaries of State and other states as needed.
  • Ordering certified formation documents, good standing certificates and UCC searches directly from states and from third party service providers.
  • Preparing written resolutions and minutes of Board of Directors and Shareholder meetings.
  • Applying for EDGAR access codes with the Securities and Exchange Commission.
  • Preparing and filing required Form D notices with the Securities and Exchange Commission and other state jurisdictions.
  • Researching federal and state securities laws.
  • Communicating with and responding to clients both orally and through written communications

Qualifications :

  • Experience in the legal field, primarily as a Corporate Paralegal preferred
  • Proficient in Word, Excel, and DocuSign; experience with Carta a plus
  • Highly organized and detail-oriented
  • Proactive and able to take ownership of work products
  • Education :

  • Bachelor’s degree or equivalent related work experience
  • ABA approved Paralegal course of study or North Carolina State Paralegal Certification preferred
