Job Description

The Compliance Director, Fair and Responsible Banking Advising oversees the Bank's Fair and Responsible Banking program related deliverables, including developing and maintaining critical Fair and Responsible Banking programs such as the Fair and Responsible Banking Risk Assessments and Fair and Responsible Banking Monitoring & Testing plan, as well as conducting in scope Advisory services and Monitoring and Testing activities. This role is also accountable for Fair and Responsible Banking related exam and audit management as well as the remediation of any Fair and Responsible Banking program issues. This role oversees Board and Executive level reporting. As such this role is responsible to set and implement priorities for the team and to seek technology enablement as appropriate to advance the program.

The function uses all available information, and analytics support to U.S. Compliance, including Fair and Responsible Banking to proactively monitor and report risk and consistently identify opportunities to enhance Fair and Responsible Banking risk management. Manages a team of professional experts in Fair and Responsible Banking compliance and conduct risk and applying modern data analytics to these professional disciplines.

This role also manages compliance aspects of the applicable fair lending laws, including the Equal Credit Opportunity Act, Fair Housing Act, as well as Fair and Responsible Banking related expectations communicated by the OCC, FRB and CFPB.

This role works closely with various internal stakeholders / partners to understand business objectives, identify data / information needs, drive opportunities for improvement and generate insights supporting well-informed business and risk management decisions and strategies. Leads Compliance's data transformation and drives innovation for the Compliance function.

Depth & Scope :

Provides people management leadership by hiring the best talent, setting goals, developing staff, managing employee performance and compensation decisions, promoting teamwork and handling any / all disciplinary actions, as required

Responsible for the creation and execution of the US Compliance Fair and Responsible Banking program frameworks, policies and procedures within mandate that satisfy all TD Bank Group ("TDBG") applicable US regulatory requirements and align with industry leading practices and that supports an effective Compliance Management System ("CMS")

Provides second line of defense risk-based oversight and leads and maintains the Fair and Responsible Banking Compliance program elements including but not limited to : Advisory services, Monitoring and Testing activities, Exam and Audit management, Program Remediation and Board / Executive level reporting in accordance with the US Compliance Operating Framework, and the US regulatory requirements and expectations

Supports the creation and execution of strategy, standards, and objectives for the US Fair and Responsible Banking Program

Sets the strategic direction and lead planning activities within mandate

Designs US Fair and Responsible Banking program elements to meet relevant regulatory requirements, standards, and expectations as well as internal compliance policies established by the Boards; prioritize strategic initiatives based on the assessment of risk; and oversee the effective execution of relevant initiatives; Prepares and presents reporting at the most senior level of the organization to appropriately reflect risk

Keeps pace with technological advancements in modernizing the program to keep pace or exceed industry standards

Uses all relevant data as required, to provide review, challenge, and feedback to advise and challenge the first line

Uses all relevant data to review and challenge the first line as related to new products / business approval process to ensure alignment with TDBG's risk appetite

Adheres to, coordinates, and supervises the responsibilities included in the US Compliance Department Mandate; and the Legal and Regulatory Compliance (including Financial Crime) Management Framework ("LRC RMF")

Develops strategies to appropriately mitigate fair banking compliance risks to support TDBUSH and TDGUS in achieving its strategic objectives, while protecting our brand

Provides objective guidance and independent review and challenge related to fair banking compliance risk management matters

Reports to senior management, the TDBUSH and TDGUS Risk Committees of the Board, and / or regulators periodically and when material breaches of Laws, Rules, and Regulations (LRRs) or material regulatory compliance risk events occur

Reviews that reports are supported by sufficient pertinent information that is verified or reasonably verifiable

Develops and maintains constructive relationships between the Senior Business Management across TDBUSH, the Senior Compliance Leaders and regulatory agencies to support sustained trust in TDBUSH and TDGUS Compliance by our regulators and management

Supports the self-assessment of the US Compliance Department, at least annually, for providing input to the US Chief Compliance Officer to facilitate the assessment of the US Compliance function's effectiveness

Education & Experience

Bachelor's degree or equivalent experience required

10+ Years of related experience

Demonstrates in-depth working knowledge of the financial services industry and applicable laws, regulations and industry practices

Demonstrated experience leading regulatory compliance activities

Proven ability to develop project plans and independently coordinate and complete projects

Excellent written and verbal communication skills, including a demonstrated ability to clearly provide written reports that accurately and clearly summarize issues and present solutions in an understandable and logical manner

Proven ability to influence others' actions and decisions without express authority

Proven ability to analyze complex laws and regulations and relate those laws to procedures of assigned areas

Demonstrated ability to develop and maintain productive business relationships with internal partners and external regulators

Excellent analytical skills and ability to exercise sound judgement in the development and selection of compliance programs and solutions. Proficiency in Microsoft Office other utility applications

Demonstrates knowledge of database programming capabilities

Strong analytical and program solving skills are required to interpret data and draw conclusions

Prior leadership experience or progressively responsible Department / Bank experience

Ability to coach and mentor others

Ability to provide conflict resolution

Strong ability to successfully balance competing priorities in a fast-paced environment
