Mid-Level Corporate Finance Associate

Location : Washington, D.C. (Hybrid)

Time Type : Full-Time

Compensation : $235,000 - $365,000 per year

Direct Counsel is representing an Amlaw 100 firm in the search for a mid-level Corporate Finance Associate to join its Corporate Practice in Washington, D.C. This role provides an excellent opportunity to work on complex finance transactions for clients across industries in a collaborative, high-performing environment.

Key Responsibilities :

Handle lender and borrower-side financings , including syndicated credit facilities, acquisition financings, and asset-based lending.

Draft, review, and revise credit agreements, debt commitment letters, security agreements, and closing deliverables , including secretary’s certificates, resolutions, legal opinions, schedules, and exhibits.

Represent private equity sponsors and portfolio companies in financing transactions (experience preferred).

Manage deal execution, client interaction, and ensure high-quality legal work throughout the transaction lifecycle.

Collaborate with colleagues in a team-oriented and proactive environment .

Qualifications :

2–6 years of experience in corporate finance, including lender and / or borrower-side transactions.

Strong experience in syndicated credit facilities, acquisition financings, and asset-based lending .

Proven drafting and negotiation skills with the ability to manage deals independently.

Strong academic background and admission to one or more state bars ; DC bar admission is a plus.
