Job Description
The position focuses on capital markets and public company advisory work, supporting complex transactions from initial planning through completion.
Key Responsibilities
- Manage and support a broad range of capital markets matters, including equity and debt offerings
- Draft and review registration statements, prospectuses, offering memoranda, and ongoing disclosure
- Advise public companies on securities law compliance, corporate governance, and periodic reporting obligations
- Coordinate with investment banks, auditors, and multidisciplinary internal teams throughout transaction lifecycles
- Conduct legal research on securities regulations, listing requirements, and transactional issues
- Assist with the structuring and execution of IPOs, follow-on offerings, private placements, and related capital-raising activities
Qualifications
J.D. from an accredited law schoolActive bar membership in the relevant U.S. jurisdictionAt least 3 years of experience in capital markets and / or public company representationStrong working knowledge of the Securities Act, Exchange Act, and SEC reporting frameworksExcellent drafting, analytical, and communication skillsAbility to manage multiple workstreams and operate effectively in a hybrid environment
