Corporate Counsel

A company is looking for an Associate Counsel - Corporate.

Key Responsibilities

Provide legal counsel and support to executive leadership and various departments on corporate governance, securities matters, and compliance

Assist in the preparation of SEC filings and public company communications, ensuring compliance with legal requirements

Support transactional matters including M&A, joint ventures, and complex contracts, as well as manage corporate secretarial functions

Required Qualifications

Minimum Juris Doctorate

At least 5 years of legal practice experience, particularly in public company securities work and corporate governance

Experience with transactional work, including M&A and complex contracts

Familiarity with international / cross-border operations and transactions

Background in debt agreements and publicly-traded bonds is a plus
