OverviewThe Business Law Attorney & Commercial Litigator will handle a mix of transactional business matters and commercial litigation. This role is ideal for an attorney who enjoys both contract drafting / negotiation and courtroom advocacy, and who is comfortable advising entrepreneurial and closely held businesses. The attorney will handle matters from initial client intake through resolution, including strategy development, case management, and client communication.
- Key Responsibilities
- Transactional / Business Law (approx. 4060%)
- Draft, review, and negotiate a wide range of business agreements, including operating agreements, service contracts, NDAs, vendor agreements, licensing agreements, purchase agreements, and employment-related documents.
- Form, structure, and advise various business entities (LLCs, corporations, partnerships).
- Counsel clients on corporate governance, regulatory compliance, risk mitigation, and day-to-day operational issues.
- Support clients in mergers & acquisitions, business sales, and due diligence.
- Commercial Litigation (approx. 4060%)
- Represent clients in commercial disputes, including breach of contract, shareholder / member disputes, business torts, and collection matters.
- Handle all phases of litigation : pleadings, discovery, motions, depositions, settlement negotiations, trial preparation, and hearings.
- Develop litigation strategies tailored to clients business needs and risk tolerance.
- Engage in alternative dispute resolution, including mediations and arbitrations.
- Qualifications
- J.D. from an accredited law school.
- Active bar license in Idaho.
- 2-5+ years of experience in business transactions and / or commercial litigation (both preferred).
- Strong drafting, negotiation, and analytical skills.
- Ability to manage cases and communicate clearly with clients.
- Entrepreneurial mindset, strong work ethic, and commitment to small-business clients.
- Comfortable with technology, case management software, and efficient work processes.
