A global organization is seeking a Director, Corporate Governance & Project Management to support the Chief Legal Officer and Corporate Secretary in overseeing board governance and subsidiary compliance across a complex international structure of 150+ entities.
This role blends company secretarial expertise with strategic project management , providing leadership to the governance team and ensuring excellence in statutory compliance, corporate transactions, and shareholder reporting. The successful candidate will partner closely with senior management, investors, and external advisers across multiple jurisdictions to deliver high-quality governance standards and seamless execution of corporate initiatives.
Key Responsibilities
- Support the CLO in all aspects of board governance , including agendas, materials, minutes, and action tracking through Diligent Boards .
- Maintain and oversee the global entity database ( Diligent Entities ), ensuring accuracy of corporate records, statutory registers, director / officer listings, and group structure charts.
- Manage global entity compliance for 150+ subsidiaries, coordinating with regional counsel and local advisers across 25+ jurisdictions.
- Lead and mentor the Manager, Corporate Governance , ensuring consistent standards and effective workload management.
- Draft and coordinate subsidiary board and shareholder resolutions, regulatory filings, and corporate consents.
- Oversee the annual governance calendar, director onboarding, evaluations, and disclosures.
- Project manage corporate transactions , including acquisitions, divestitures, refinancing, and reorganizations — defining milestones, managing stakeholders, and ensuring timely delivery.
- Support due diligence, data room management, and corporate authorizations in connection with key transactions.
- Collaborate with Finance, Tax, and Legal teams as well as external counsel and auditors to ensure compliance and smooth execution.
- Manage quarterly reporting to the Board and shareholders, including KPI and Treasury-related deliverables.
- Develop and implement governance frameworks, dashboards, and compliance trackers to enhance oversight across the global group.
- Drive continuous improvement initiatives, including entity simplification and group restructuring.
Education and Experience
Bachelor’s degree or equivalent professional qualification required.Chartered or part-qualified Company Secretary (CGI or equivalent) preferred.5–10 years’ experience in a corporate governance or company secretarial role , ideally within a private equity–owned or investment-backed organization.Strong project management experience within fast-paced corporate or PE environments.Deep understanding of company law, governance frameworks, and deal structures .Exceptional drafting, analytical, and organizational skills .Proven ability to manage multi-entity, cross-border corporate structures.Proficient in governance and collaboration tools (e.g., Diligent, Teams, SharePoint ).Commercially astute, discreet, and capable of operating independently while engaging effectively with senior stakeholders.
