Role Summary
The role of the General Counsel is to serve as the organization’s senior legal advisor, ensuring that Vitamin Angels operates with integrity, transparency, and full compliance across all jurisdictions where it works. As a key member of the senior leadership team, the General Counsel will provide strategic and practical legal guidance that supports the organization’s global mission to improve maternal and child health through nutrition. This role will be instrumental in strengthening the legal foundations necessary for long-term growth, innovation, and impact—while safeguarding the organization’s values, reputation, and operational resilience. The General Counsel is responsible for providing in-house legal counsel and guidance on matters related to maintaining the Vitamin Angels’ status and compliance with legal and regulatory requirements of a tax-exempt organization; nonprofit governance; contracts and contract administration; international entity registrations and compliance, employment and labor laws (domestically and internationally) legal issues relating to charitable giving and marketing messaging; and other topics related to our work. The role requires the ability to research, analyze and advise on specific legal issues, with the support of and in coordination with external counsel when helpful. The General Counsel will report to the Chief Financial Officer. This is a great opportunity for a talented lawyer looking to transition from a large law firm or an in-house legal position to a General Counsel position at a leading global public health organization.
Key Responsibilities
1. Governance, Compliance, Risk, and Strategy
- Advise the CEO, CFO and Board on nonprofit governance, fiduciary duties, and regulatory compliance (e.g., 501(c)(3) rules).
- Research and advise the CFO on other governance matters for foreign nonprofit entities that are registered in the UK, Canada, India, Indonesia and Philippines.
- Support Board operations, including bylaws, policies, resolutions, and committee matters.
- Oversee conflict of interest disclosures and advise on related policies.
- Serve as a strategic advisor to the Strategic Leadership Team, ensuring legal input is integrated into key organizational and operational decisions.
- Review and maintain the Code of Ethics and Business Conduct of the organization and monitor compliance with the code.
- Ensure compliance with U.S. and international laws, including OFAC, GDPR, state data privacy laws, marketing laws, and local anti-corruption and nonprofit regulations.
- In international jurisdictions, hire and liaise with local legal counsel as necessary. For any new international registrations, lead the registration process.
2. Contracts
Support the Associate Director, Contracts and Compliance and the CFO in the management and negotiation of contracts with donors, vendors, implementing partners, and service providers.Provide legal guidance as part of contract negotiations.Lead the implementation of new contract management software and assess the current contracting process in order to streamline the contract process workflows.3. Risk
In partnership with the CFO, develop a global risk framework aligned with the organization’s values and risk appetite and maintain the enterprise risk resister.Update the Enterprise Risk Assessment once every 3 years (or more often as deemed necessary) with the assistance of external consultants.4. Other Legal Operations
Mentor two team members (Associate Director, Contracts and Compliance and International Compliance Manager)Create, streamline, and monitor international compliance processes and procedures to ensure timely monitoring of compliance activities in other countries, including India, Indonesia, Philippines, Canada, and the UK.Protect and manage the organization’s trademarks, branding, proprietary content, donor use of VA content in marketing materials and brand, and licensing agreements.Advise on technology partnerships, digital tools, and safeguarding beneficiary and employee data in accordance with data privacy laws.Support staff’s understanding of their own compliance responsibilities, including developing and delivering training sessions and materials to educate staff on relevant legal and compliance issues.Contribute a legal, regulatory, and risk assessment perspective to the creation of program strategiesIdentify and coordinate outside counsel, pro bono and privately retainedAssist in the preparation and review of legal documents, filings, and reports, as needed4. Employment Law
Advise on employment law across jurisdictions, supporting the People Operations team.Draft and review employment agreements, global policies, and support sensitive matters (e.g., investigations, whistleblower protections, terminations)Contribute to a culture of inclusion, psychological safety, and equity through legally sound HR practicesGuide workplace policy development including remote work, DEI, and internal behaviors and valuesWork closely with the Director of People Operations and external employment / legal advisors to develop international employment policies and procedures.Qualifications and Skills Required :
