We are seeking an experienced Corporate Paralegal to join our vibrant Legal Team. The ideal candidate will be a self-starter, with an in-depth understanding of corporate law and transactional procedures, and a proven track record in entity formation and managing board meetings. Responsibilities :
1. Assist in the preparation and review of corporate legal documents, including contracts, agreements, and other legal instruments to ensure the organization's legal rights are protected.
2. Manage all aspects of board meetings, including scheduling, preparing agendas, drafting minutes, and ensuring all necessary documentation is accurate and timely.
3. Oversee the entity formation process, including drafting articles of incorporation, bylaws, organizational minutes, consents, qualification, and other state filings.
4. Conduct comprehensive research on legal issues, corporate policies, and regulatory matters that affect the company and present findings to the legal team and senior management.
5. Collaborate closely with the accounting and finance teams to ensure legal requirements are met in all financial transactions and procedures.
6. Maintain an organized and up-to-date database of all corporate records, including contracts, leases, and other legal documents.
7. Provide support in corporate transactions, including mergers and acquisitions, joint ventures, and capital market transactions.
Qualifications :
1. Bachelor's degree; Paralegal certification is preferred.
2. A minimum of 5 years of experience as a Corporate Paralegal.
3. Strong understanding of corporate law and transactional procedures, with a focus on entity formation and board meetings.
4. Excellent research skills with the ability to analyze complex legal documents and present findings in a clear and concise manner.
5. Exceptional organizational skills with the ability to manage multiple tasks, set priorities, and meet deadlines in a fast-paced environment.
6. Proficient in Microsoft Office Suite, with experience in using legal research software and corporate database systems.
7. Excellent verbal and written communication skills, with the ability to interact effectively with all levels of management.
8. Strong attention to detail and the ability to work effectively both independently and as part of a team.
