Job Title : Mid-Level Mergers & Acquisitions Associate

Location : New York, NY

Overview :

A leading global law firm is seeking a Mid-Level Associate to join its Mergers & Acquisitions (M&A) practice in New York. This is an excellent opportunity for a skilled attorney to work on complex, high-value transactions across a variety of industries, including industrials, consumer retail, pharmaceuticals, energy and renewables, and technology.

Responsibilities :

  • Review, draft, and negotiate key transaction documents including term sheets, letters of intent, memoranda of understanding, confidentiality and non-disclosure agreements, merger agreements, purchase agreements, and other transaction-related documents.
  • Draft detailed memoranda analyzing legal considerations for complex M&A and financing transactions, including governance and economic rights.
  • Prepare, draft, and revise transaction documentation such as due diligence reports, operating and shareholders’ agreements, ancillary agreements, and corporate housekeeping documents (board and shareholder resolutions, consents, certificates, etc.).
  • Compile schedules and exhibits to support transaction agreements.
  • Conduct legal and market research on corporate governance matters and deal term trends, including minority consent rights and reverse termination fees, utilizing platforms such as Intelligize, DealPointData, and Westlaw / Practical Law.

Qualifications :

  • Juris Doctor (JD) degree or equivalent.
  • Minimum of 2 years of M&A experience with a focus on complex transactions.
  • Admitted to practice law in the State of New York .
  • Strong drafting, analytical, and research skills.
  • Experience advising clients across multiple sectors is highly preferred.
  • Compensation :

  • Base Salary : $310,000 - $365,000 annually (commensurate with skills and experience, in accordance with applicable law).
  • Additional Information :

  • Telecommuting or hybrid work arrangements may be available in accordance with firm policy.
