Position Summary : To serve as the first point of contact for global equity plan and employee stock purchase plan administration. Provide high-level support for F5's Executive VP and General Counsel, Sr. Director, Equity Programs & Corporate Governance, and Manager, Equity Plans.
Primary Responsibilities :
- Global Equity Plan Administration (80%) :
- Support Mgr. Equity Plans in global equity plan administration.
- Maintain the Equity Edge Online ("EEO") database, including all transactions into the equity database and quality control of all data entry.
- Process global new hire set up, terminations and leave of absences in equity database.
- Process and monitor the Morgan Stanley account generation, activation and W-8BEN certification.
- Maintain internal employee relocation tracker and work with HR and tax on equity tax impacts.
- Maintain daily administration of employee option exercises.
- Manage RSU release transactions; troubleshoot all post-release issues.
- Manage ESPP processing; troubleshoot all post-purchase issues.
- Correspond with global payroll teams to report daily trades and quarterly RSU and ESPP transactions.
- Serve as primary point of contact for Tier 1 global employee issues / questions regarding their equity compensation and Morgan Stanley account; liaison with broker as needed, including opening and following up on cases.
- Serve as primary point of contact for Tier 1 internal F5 HR and Payroll questions regarding the equity plans.
- Provide equity compensation documentation to HR and / or Legal for employee relations matters such as : employee separation, court actions, garnishment, death, disability, etc.
- Perform monthly and annual ISO and ESPP disposition reporting for US Payroll.
- Assist in preparing the annual Section 6039 employee tax mailings, IRS filings, and employee tax communication.
- Perform monthly termination reviews between equity database and HRIS system.
- Work with internal and external teams with funds going to and from Morgan Stanley Foreign Disbursement accounts.
- Manage the Morgan Stanley tax elections for US employees.
- Create and post Morgan Stanley online grant document packages for new grants and tracking acceptances as needed.
- Update and maintain equity plan documentation, employee communication, and educational materials (FAQs, instructions, email templates, videos).
- Maintain all links and materials on the Equity SharePoint site.
- Maintain all equity compensation records and hard copies as needed.
Corporate Governance & Legal Support (20%) :
Assist in drafting annual D&O questionnaires.Administrative updates to the proxy statement.Assist in annual meeting preparation and day-of coordination.Coordinate signatures, notaries and legalization on documents as required; serve as gatekeeper to the Executive VP and General Counsel for signatures related to the global equity programs.Serve as back-up for other Legal staff as required from time to time.Other Responsibilities :
Responsible for upholding F5's Business Code of Ethics and for promptly reporting violations of the Code or other company policies.Performs other related duties as assigned.Note : The percentages of time noted above are current estimates and may change at any time depending on the business needs of the company. Knowledge, Skills and Abilities :
Database management.Proficiency in Microsoft Office applications, including Word, PowerPoint, Outlook and Excel are required.Excellent analytical, written and verbal communication skills.This role requires working closely with cross-functional departments, including human resources, payroll, tax, accounting and finance.Ability to prioritize workload with strong organizational skills, attention to detail and maintain confidentiality.Up-beat attitude and the ability to work effectively under pressure are required.Ability to operate with minimal supervision in a dynamic environment with a high degree of initiative.Qualifications :
3+ years of work experience in stock plan administration, preferably with a global public company (in-house or service provider).Bachelor's degree or equivalent work experience.Knowledge of equity plan software and reporting.Certified Equity Professional (CEP) designation, or in the process of obtaining certification preferred.State notary.Physical demands and work environment :
Duties are performed in a normal office environment while sitting at a desk or computer table. Duties require the ability to utilize a computer, communicate over the telephone, and read printed material.Duties may require being on call periodically and working outside normal working hours (evenings and weekends).Duties may require the ability to travel via automobile or airplane.Occasional light lifting of boxes and files may be required for organization of legal files.
