Job Duties
Analyze potential M&A transactions and strategic initiatives to support senior leadership in acquisition decisions. Coordinate with finance in gathering detailed inputs for financial models and perform valuation analysis. Coordinate and support with all aspects of due diligence, including organizing and managing teams of specialists (internal and external) for review in identifying and quantifying sources of synergies and risk, and summarizing findings for the senior executive team. Draft investment memos, presentations and recommendations for all stages of the deal process. Develop and maintain internal tools and processes for tracking all active, inactive, and closed deal activities. Network and originate new transactions that are on-strategy for AES Clean Energy. Work collaboratively with cross-functional teams in developing business case analyses and executing transactions. Co-lead purchase of development stage projects with involvement in all aspects and phases of transaction including diligence findings and term sheet and contract negotiation as well as RFP and bid responses. Support transactions for operational renewable power and storage plants. Location : Salt Lake City, UT (must be in the office two days per week and is permitted to telework three days per week). 5% travel required for team meetings. Job requires a Bachelor's degree in Finance, Business, Environmental Science, or related field and 2.5 years of experience in US Renewable Energy, renewables project development or a related field Job requires experience in each of the following : Assess, compare, and value various renewable energy projects within U.S. regional transmission markets to support senior leadership in acquisition decisions; Discounted cash flow analysis based upon renewable energy project costs, revenue streams and tax equity structures and incentives in Excel; Changes to renewable energy financing assumptions, capital and operating costs, project development costs and acquisition fees contribute to Key Project Indicators (KPIs); Analyze Title Commitments / Pro Formas, Geotechnical studies, specific renewable energy project permits, renewable energy state and local tax exemptions, and other renewable energy project development materials as manager of the due diligence of solar, battery storage, and wind assets; Draft and present investment memos and PPT presentations that reflect KPIs derived from the financial model and provide strategic context connecting transaction opportunities to company goals; Negotiate term sheets and commercial deal terms with Sellers of Renewable Energy Projects; Buyer and Seller conditions precedent, representations and warranties, covenants, indemnification and liability, and other key aspects of Asset Purchase Agreements; Conduct transmission queue analysis of U.S. transmission markets to determine prioritization of solar, wind, battery storage projects in various stage of development and inform business development outreach campaigns.
