Job Description

As a key member of the Office of General Counsel, the Assistant / Associate General Counsel provides strategic and practical legal support in a dynamic, growth-oriented environment. This role is critical for enabling rapid business expansion, managing complex transactions, and managing legal risks for an engineering and litigation support consulting firm. Reporting to the General Counsel, you will deliver business-focused legal solutions, mitigate risk, and support the company’s strategic objectives.

Core Responsibilities

• Contracting & Transactions : Quickly and efficiently draft, review, and negotiate a wide range of commercial agreements (client, vendor, SaaS, NDAs, MSAs, SOWs, data protection, etc.). Support buy-side and sell-side M&A diligence, integration, and portfolio company matters.
• Legal Counsel : Advise senior management on corporate strategies, governance, compliance, and risk management. Provide guidance on regulatory issues, employment law, and intellectual property.
• Dispute & Litigation Management : Oversee litigation, arbitration, and business disputes. Respond to subpoenas, regulatory inquiries, and coordinate with outside counsel.
• Legal Conflict Resolution :  Review, investigate and resolve potential legal conflicts flagged by conflict check system (InTapp), including seeking client waivers when appropriate or implementing other conflict mitigation strategies.
• Compliance & Ethics : Ensure adherence to legal and ethical standards. Stay current on legal developments and industry best practices.
• Process Improvement : Streamline contract review workflows, legal operations, and documentation. Implement technology solutions for efficiency.
• Manage all aspects of RFP submissions including answering client questionnaires, gathering necessary documentation with the business teams for timely submission, registering with various state and local procurement portals as necessary, identifying and remediating potential areas of project risk, and escalating as appropriate.
• Special Projects : Support high-priority initiatives.
• Mentorship : Provide training and guidance to junior staff and business teams.

The annualized salary range for this role is $190k to $220k.
