Associate General Counsel - Corp Gov, Securities, M&A (Minneapolis)

A global industrial company is seeking an experienced Associate General Counsel to lead legal support for mergers and acquisitions, securities compliance, and corporate governance. This role reports directly to the General Counsel and plays a key role in strategic transactions and board-level matters.

Key Responsibilities :

• Lead legal aspects of global M&A transactions, including due diligence, negotiations, and regulatory clearances.
• Oversee preparation and review of SEC filings (10-K, 10-Q, 8-K, proxy statements, Section 16).
• Advise on investor communications, earnings releases, and public disclosures.
• Support board and committee meetings, including governance documentation and policy updates.
• Provide legal oversight of executive compensation and equity programs.
• Assist with debt financing and other capital market transactions.
• Supervise a paralegal and collaborate cross-functionally with internal stakeholders.
