Job Overview : We are seeking a Corporate Legal Counsel who will serve as a hands-on, business-oriented legal advisor across Sol-Millenniums global operations. This role is highly transactional, supporting contracts, governance, and compliance matters, while also engaging with stakeholders across North America, Europe, and APAC.

This is not a role managing a large legal department, it is suited for a self-starter and generalist who thrives in a dynamic environment, is comfortable coordinating across time zones, and brings a commercial mindset to legal challenges.

This role is located at our global HQ in downtown Chicago and operates on a hybrid schedule.

Responsibilities :

• Draft, review, and negotiate various commercial and transactional agreements including sales agreements, vendor contracts, MSAs, NDAs, and SaaS agreements.
• Provide practical, business-minded legal advice that supports commercial objectives while ensuring compliance.
• Strategically and cost-effectively manage and partner with outside counsel.
• Partner with internal stakeholders (HR, Finance, Commercial, Operations) to align legal solutions with business priorities.
• Support corporate governance matters, including board resolutions and entity compliance.
• Assist with transactional work such as M&A diligence, restructuring efforts, and strategic projects.
• Advise intellectual property matters including trademarks and licensing.
• Public company filings and board oversight
• Stay updated on relevant legal developments and proactively communicate potential impacts to the business.
