About the Role
The Legal Counsel Director will support large‑scale project financings and real‑estate developments for Crusoe’s data center development projects. Reporting directly to the Assistant General Counsel – Real Estate Development & Data Centers, the Director will lead contract drafting, negotiation, and execution of project finance transactions and real‑estate acquisition matters while working closely with cross‑functional stakeholders to ensure timely and strategic legal support.
Location & Work Arrangement
San Francisco, CA – requires being in office 5 days per week.
Key Responsibilities
Close real estate transactions, including site selection, letters of intent (LOIs), purchase and sale agreements (PSAs), options, easements, and synthetic / ground leases.
Review, negotiate, and execute real‑estate transaction agreements from inception to closing.
Conduct legal due diligence activities (title, survey, environmental assessments, geotechnical reports, permitting, zoning / land‑use matters) to identify and mitigate risks.
Address title matters, property rights, and boundary disputes.
Draft, negotiate, and execute customer leases and data center service agreements.
Negotiate and execute power procurement and utility‑related agreements.
Support financing activities, including debt raises, recapitalizations, and structured transactions.
Support legal due diligence for construction loans and joint ventures.
Present complex legal concepts clearly to non‑legal stakeholders.
Collaborate with finance, tax, power, engineering, construction, project development, and operations teams.
Develop and maintain standardized legal documents, templates, and contract clauses.
Continuously improve contracting processes and best practices with the real‑estate business team.
Qualifications
Juris Doctor (JD) from an accredited law school.
Active bar admission in any state.
5‑7 years of experience in real‑estate transactions and lending.
Knowledge of real‑estate financing, equity JVs, synthetic leases, and loan due diligence processes.
General awareness of construction financing and power procurement.
Excellent negotiation, drafting, and communication skills.
Strong judgment, analytical, and problem‑solving abilities.
Ability to work collaboratively with cross‑functional teams.
Self‑starter who thrives in a dynamic, high‑stakes business environment.
Experience with data center or large‑scale development projects strongly preferred.

Compensation
Up to $218,000–$270,000 base salary plus bonus; Restricted Stock Units included. Compensation determined by education, experience, and market data.
