Job description

We are seeking an experienced Transactional Attorney with a strong background in Mergers & Acquisitions (M&A) to join a well-established Houston law firm. The ideal candidate will have 3-8 years of experience handling sophisticated corporate and transactional matters, including structuring, negotiating, and closing complex business deals across multiple industries.

Responsibilities

  • Advise clients on all aspects of mergers, acquisitions, joint ventures, divestitures, and corporate reorganizations
  • Draft, review, and negotiate a wide range of transactional documents, including purchase agreements, shareholder agreements, operating agreements, and related contracts
  • Conduct and manage due diligence processes and risk assessments
  • Provide counsel on corporate governance, regulatory compliance, and business structuring strategies
  • Collaborate with internal and external stakeholders to ensure seamless execution of transactions
  • Mentor junior attorneys and contribute to the firm's continued growth and success

Qualifications

  • Juris Doctor (JD) from an accredited law school
  • Active license to practice law in Texas (in good standing)
  • Minimum of 3-8 years of transactional law experience , with a primary focus on M&A
  • Strong drafting, negotiation, and client-communication skills
  • Proven ability to handle multiple complex matters independently in a fast-paced environment
