Corporate Associate Attorney (Blockchain, Crypto & Web3) | $260k–$365k| San Francisco, CA, or Palo Alto, CA (Hybrid)

An AmLaw 50 firm is seeking a Corporate Associate with hands-on experience in blockchain, digital assets, and Web3 to join its innovative Corporate team . This group represents companies at all stages of development in a diverse range of emerging and disruptive technologies —from early-stage startups to established market leaders redefining the digital economy.

Key Responsibilities :

Advise crypto and Web3 clients on venture capital financings, token and digital asset issuances, and NFT transactions .

Counsel clients on primary and secondary token sales and offshore structures related to digital asset offerings.

Draft and negotiate a variety of commercial and financing agreements involving blockchain and digital asset companies.

Partner closely with founders, investors, and in-house teams to navigate regulatory, securities, and governance issues .

Work cross-functionally with leading attorneys in securities, tax, and fintech practices on complex, fast-evolving matters.

Qualifications :

3–6 years of corporate or transactional experience with a focus on blockchain, crypto, or digital assets .

In-depth understanding of blockchain technology, token economics, and Web3 markets .

Experience representing clients in venture financings, token sales, or NFT-related transactions .

Active bar membership in California or New York preferred.

Strong academic credentials and exceptional communication skills.
