Position Overview
The Lead Strategist Deal Structuring role will play an integral part in Motiva's Strategy and Mergers & Acquisitions group by leading key aspects of transaction execution, including deal structuring, contract analysis, and risk identification. The role serves as the internal legal and commercial bridge between the M&A team, Legal, and functional partners, ensuring that deal terms are fully aligned with both Motiva and Aramco standards. By providing disciplined oversight and facilitating cross-functional collaboration, the Lead helps drive successful transactions while maintaining compliance and strategic alignment.
Responsibilities
- Own the development of structuring recommendations and coordination of redlines with Legal throughout all transactions.
- Draft term sheets and identify transaction risks, ensuring all material issues are addressed before progression.
- Prevent advancement of term sheets or deal documents with unresolved material risk issues.
- Serve as a subject-matter expert on deal structuring and commercial contracting throughout all transaction phases, ensuring legal and financial discipline across due diligence and execution
- Influence the final negotiation stance and overall contract execution strategy for assigned transactions.
- Provide input on resource requirements for external legal or tax structuring support.
- Partner with Legal and Compliance on drafting, diligence, and risk mitigation activities.
- Collaborate with Finance and Risk teams to validate exposure, liability tradeoffs, and alignment on contract triggers.
- Collaborate closely with the Transaction Lead and M&A Lead to ensure structuring logic, risk allocation, and contractual terms are fully reflected in approval materials and transaction models.
- Maintain comprehensive documentation for audit, compliance, and assurance purposes, including redline trackers, issue logs, and version-controlled term sheets.
- Coordinate with external advisors on counsel input, antitrust considerations, and regulatory pathways.
- Align with Aramco on structuring protocols and governance expectations for all transactions.
- Understand and execute processes related to M&A, including due diligence and integration planning.
- Efficiently plan, execute, monitor, and complete projects while effectively managing resources, timelines, and stakeholders to achieve specific business objectives.
Experience and Qualifications
Required Education and Experience :
Bachelor's degree in Finance, Business, Economics, Accounting, or a related field.7+ years of experience in corporate development, investment banking, private equity, consulting, or financial / strategic analysis.Strong financial modeling and valuation skills, with proficiency in Excel and presentation tools (e.g., PowerPoint).Experience working with Treasury or Strategic Finance teams to validate bid assumptions, capital planning, and modeling inputs.Ability to coordinate legal, risk, and compliance requirements, including transaction documentation, approvals, and governance standards.Strong understanding of deal mechanics, financial implications of contract terms, and ability to translate legal structures into commercial outcomes.Experience reviewing and negotiating transaction term sheets, shareholder agreements, JV frameworks, or other definitive documents.Working knowledge of antitrust, regulatory, and compliance requirements for complex transactions.Familiarity with managing external advisors, including counsel, for deal structuring, contracting, and reviews.Strong communication and collaboration skills to engage internal stakeholders and external partners, including Aramco, for timely reviews and approvals.Demonstrates precision in high-stakes decision environmentsBalances legal rigor with practical deal execution needsOperates with a proactive, solution-focused mindsetPreferred Education and Experience :
