Our client, a premier AmLaw 50 firm, is seeking a driven Counsel Attorney to join its high-performing Private Investment Funds (PIF) Group , within the Private Equity Practice . This non-partnership track role is an exciting opportunity to work on complex and private investment transactions for elite private equity sponsors, direct lenders, and financial institutions across a wide range of industries and deal structures.

Candidate Profile

• JD from a top-tier law school with an excellent academic record
• Active Bar Admission in the relevant jurisdiction, in good standing, or eligibility to obtain admission promptly
• 6+ years of substantive experience in fund formation transactions with private investment funds , focusing on the private equity , real estate , and / or tech industries
• Skilled in private placements under the 1933 Act , managing unregistered funds under the Investment Company Act , and familiar with the Investment Advisers Act
• Strong proficiency in drafting and negotiating fund formation documents and operational agreements , ensuring compliance with applicable laws and regulations
• Demonstrated experience negotiating with fund investors and handling fund operational matters
• Prior experience at an AmLaw 100 or similarly sophisticated firm required
• Soft Skills : Excellent communication, organizational, and analytical abilities; experience managing complex workstreams and coordinating with multiple stakeholders; proven ability to thrive in a fast-paced, high-performance environment
