We're looking for an experienced, tech-savvy Legal Director to join our fast-paced legal team. As part of a scale-up tech company, you will support our Corporate Counsel in various areas, including corporate governance, regulatory compliance (including government / defense), litigation support, and data privacy. We are looking for someone that is comfortable having primary responsibility for day-to-day operations in some of these areas, including being able to communicate with outside counsel and senior leadership. The ideal candidate will be able to work independently, proactively identify areas for improvement, possess strong organizational skills and be able to handle multiple tasks efficiently while maintaining high levels of accuracy.

Responsibilities and Duties

• Corporate Governance : Maintain corporate records, including board resolutions, minutes, and filings related to company structure and subsidiaries.
• Contract Management : Assist in the drafting, reviewing, and managing of a wide variety of commercial agreements, including vendor contracts, software licensing, non-disclosure agreements (NDAs), and service-level agreements (SLAs).
• Compliance and Regulatory Support : Run the day-to-day operations for ensuring compliance with industry regulations, including maintaining separate systems for export controlled / classified information.
• Document Management : Organize and maintain electronic legal files, ensuring that all documents are stored and managed efficiently using case management software or cloud-based solutions.
• Intellectual Property : Assist in managing the company's intellectual property portfolio, including patents, trademarks, and copyrights. Coordinate with external counsel on filings and renewals.
• Legal Research : Conduct research on emerging laws and regulations in the technology space, such as AI, data security, cybersecurity, and other relevant tech policies.
• Litigation Support : Coordinate with external counsel on litigation matters, including responding to subpoenas, document requests, and discovery obligations.
• Data Privacy and Cybersecurity : Support the legal and IT teams in responding to data breaches or cybersecurity incidents, including assisting with investigations and drafting reports or notifications.
• Administrative Support : Provide administrative support to the legal team, including calendar management, meeting coordination, and communication with external counsel or stakeholders.
