Job Overview

A prestigious law firm is seeking an associate with 4-7 years of experience to join its highly-regarded sponsor-side private equity fund formation practice in New York. The position offers the opportunity to work directly with leading practitioners, gain hands-on experience, and engage with clients on cutting-edge matters in the private equity fund formation space.

Duties

Work on sponsor-side private equity fund formation matters.

Assist with structuring and negotiating fund agreements, including limited partnership agreements (LPAs), investment management agreements, and side letters.

Collaborate with clients to provide legal counsel on fund formation, governance, and regulatory matters.

Conduct legal research and analysis on fund-related issues and industry developments.

Participate in drafting and reviewing fund documents and agreements.

Manage client communications and ensure smooth project execution.

Requirements

4-7 years of experience in corporate law, with a focus on private equity fund formation or related areas.

Strong experience working on sponsor-side private equity funds, including fund formation, governance, and regulatory matters.

Proven ability to structure, negotiate, and draft complex legal documents related to private equity funds.

Ability to interact directly with clients and manage relationships.

Strong communication skills, both written and verbal.

Education

J.D. (Juris Doctor) degree from an accredited law school

Certifications

Active license to practice law in New York

Skills

Expertise in private equity fund formation and sponsor-side matters.

Strong negotiation and drafting skills.

Legal research and analytical skills.

Ability to manage multiple projects and meet deadlines.

Proficiency in Microsoft Office and legal research tools.
