Top Workforce Solutions is seeking an experienced Onsite Senior Corporate Counsel in Bedford, MA, with expertise in real estate transactions, contracts, business formation, collections, and compliance. The ideal candidate will act as a strategic legal advisor, collaborating across departments to protect the company’s interests and support growth.
Salary : $180,000-$200,000 / Excellent benefit package
Responsibilities :
- Conduct comprehensive legal due diligence for land acquisitions and business expansions, including drafting confidentiality agreements, reviewing title reports, surveys, environmental assessments, zoning laws, and land use regulations.
- Draft, review, and negotiate a wide range of real estate agreements such as purchase and sale contracts, leasing arrangements, and other complex legal documents.
- Oversee and coordinate real estate and financing closings, ensuring all documentation complies with legal standards and transactions proceed smoothly.
- Prepare and analyze formation documents and operating agreements for LLCs and related entities, clarifying ownership structures, management roles, and operational procedures.
- Review and negotiate contracts with municipal authorities and government agencies, ensuring compliance with procurement laws and minimizing organizational risk.
- Negotiate vendor agreements and terms with new suppliers to secure favorable, compliant, and risk-managed contractual arrangements.
- Collaborate with Credit and Collections teams by reviewing customer agreements, purchase orders, and preparing promissory notes secured by deeds of trust, liens, and other security instruments.
- Issue demand letters, file liens, and pursue legal remedies such as lawsuits to recover unpaid receivables, ensuring adherence to legal procedures.
- Maintain organized, confidential legal files, records, and documentation to facilitate efficient access and compliance.
- Implement and uphold PCI compliance standards by securing sensitive data, enforcing security policies, and staying current with industry regulations.
- Conduct legal research on tax laws, employment regulations, HR policies, and other relevant legal areas to support strategic decision-making.
- Partner closely with internal teams—including Operations, Finance, HR, and Executive Leadership—to proactively address legal challenges and facilitate business objectives.
Qualifications & Skills :
Juris Doctor degree from an accredited law school.Active, good-standing membership with the Massachusetts Bar.At least five years of experience in real estate law, corporate law, or related legal fields, preferably within a corporate or in-house legal department.Demonstrable expertise in handling real estate transactions, including acquisitions, dispositions, leasing, and land development projects.Proven ability to draft and negotiate LLC formation documents, operating agreements, and complex contractual arrangements.Well-versed in municipal and government contract law, procurement procedures, and bid negotiations.Successful track record in collections, lien enforcement, promissory notes, and legal remedies enforcement.Knowledge of PCI compliance, data security, and privacy regulations.Strong negotiation, drafting, and analytical skills.Excellent organizational abilities, with the capacity to manage multiple legal projects securely and efficiently.Effective communicator, skilled in cross-departmental collaboration and external negotiations.Top Workforce Solutions is an Equal Opportunity Employer and prohibits any kind of unlawful discrimination and harassment.
