Bunge is currently hiring for the position of Associate General Counsel - Treasury / Capital Markets. As a leader in our industry, we are seeking an individual with a demonstrated track record of exceptional work in the legal field to join our team and contribute to our continued growth and success.

You will have the opportunity to provide legal advice and support to the Treasury and Capital Markets teams on a wide range of matters, including debt and equity offerings, derivatives, structured products, and other financial transactions. The ideal candidate will have a strong understanding of capital markets regulations and a proven track record of providing high-quality legal advice in a fast-paced environment. This role will have the opportunity to work on a wide range of interesting, complex and challenging legal matters. The position requires the ability to provide sound legal advice, work collaboratively, to exercise independent judgment and to be an influential and trusted advisor.

Responsibilities :

  • Partner with finance and treasury departments to draft and negotiate a variety of complex agreements, including credit and commercial agreements, guarantees, convertible instruments, hedging and ISDA agreements and other treasury related agreements.
  • Coordinate a team of lawyers and paralegals who support the treasury team and provide legal advice with respect to financings, asset or stock sales and / or joint ventures and mergers & acquisitions.
  • Review and negotiate legal documentation, including offering memoranda, subscription agreements, and indentures.
  • Advise on regulatory compliance matters, including the Securities Act of 1933, the Securities Exchange Act of 1934, and the Investment Company Act of 1940.
  • Represent the company in negotiations with regulators, banks, underwriters, and other third parties.
  • Keep abreast, and advise on potential impact, of new and proposed regulatory and corporate finance legal developments and corporate governance trends, market trends and best practices in the markets Bunge operates in to ensure continued compliance.
  • Provide legal support for global tax and restructuring projects as they pertain to corporate entity creation, merger and / or dissolution.
  • Support the corporate secretarial function, including preparation of notices, agendas and materials for board of directors and committee meetings, including board minutes, resolutions and actions.
  • Manage outside counsel with respect to, all capital markets and other strategic transactions, including M&A and corporate financing transactions and related matters.
  • Requirements :

  • Juris Doctor (JD) degree from an accredited law school
  • Admission to the Missouri State Bar or eligibility for admission
  • 8+ years of proven experience in a legal role, preferably within the Treasury / Capital Markets practice area
  • Strong knowledge of financial markets and related legal regulations
  • Exceptional analytical and problem-solving skills
  • Excellent written and verbal communication abilities
  • Ability to work collaboratively and effectively with cross-functional teams
