We are seeking a highly skilled and business-oriented Technology Transactions / IP Attorney to join our client's legal team in their San Francisco office on an ongoing contract basis. This person will be expected to report on-site 1-2 days a week to our client's San Francisco office.
This role will support a wide range of technology-related commercial transactions and provide strategic legal guidance on intellectual property, data privacy, and emerging technologies including AI / ML.
Key Responsibilities
- Review, draft, and negotiate a variety of technology-related agreements, including :
- Software licensing, SaaS, cloud services, hardware, AI / ML, and data-sharing
- Joint development, strategic alliances, supply, manufacturing, and sales contracts
- Advise on IP ownership, licensing, and open-source software matters in commercial transactions
- Provide legal counsel on AI / ML use cases, regulatory developments, and integration into products
- Support compliance with global data privacy and cybersecurity regulations, including cross-border data transfers
- Collaborate with product, engineering, and business teams to enable go-to-market strategies and ensure regulatory compliance
- Maintain and enhance contract templates, negotiation playbooks, and internal technology / IP policies
- Serve as a liaison between the Legal team and global outside counsel for IP portfolio management
- Partner with the General Counsel to develop and execute IP strategy
Qualifications
Juris Doctor (JD) from an accredited law school; active member in good standing of at least one U.S. state barMinimum of 5 years of experience in technology transactions or software / semiconductor -based system patents, with a preference for technology transactionsExperience in both law firm and in-house legal roles preferredDeep understanding of software, SaaS, AI / ML, hardware, and data-related agreementsProven ability to advise senior business leaders and negotiate high-value, complex transactionsExceptional drafting, communication, and analytical skills with the ability to simplify complex legal conceptsExperience working in a dynamic, fast-paced company with global operationsUndergraduate degree in science, engineering, or mathematics is a plusThe ideal candidate will have a strong background in negotiating complex agreements, advising cross-functional teams, and managing IP portfolios in a fast-paced, global environment.
