We are seeking a Corporate Counsel with a strong background in M&A to join a fast-growing, private equity-backed Registered Investment Adviser. This role will be responsible for facilitating the effective execution of M&A transactions, working closely with internal stakeholders and external counsel to ensure successful outcomes.

Description
- Manage the drafting, negotiation, and review of key acquisition documents including purchase agreements, employment contracts, leases, and compensation arrangements. Ensure alignment with strategic objectives and legal standards throughout the deal lifecycle.
- Serve as a legal point of contact for internal teams and external counsel, facilitating smooth communication and coordination across all phases of the transaction.
- Provide legal guidance on transaction structure, oversee closing processes, and ensure all documentation is complete, accurate, and compliant.
- Translate complex legal concepts into clear, actionable contract language. Identify and address potential legal risks proactively during negotiations and due diligence.
- Manage legal due diligence processes across multiple transactions, identifying and mitigating risks in collaboration with internal teams, external counsel, and consultants. Provide strategic input on deal structure and compliance implications.
- Develop and maintain contract templates, streamline legal workflows, and negotiate agreements to secure favorable terms. Ensure consistency and alignment with company policies and strategic objectives.
- Advise on ownership structures, governance matters, and member rights. Draft and manage transaction documents, oversee vendor agreements, and support cross-functional legal initiatives to improve operational efficiency.
- Track legal and regulatory developments relevant to M&A and corporate law. Recommend proactive compliance actions and ensure proper documentation, filing, and record-keeping across all legal processes.
