We are seeking an Assistant General Counsel to address a wide variety of contractual matters for our U.S. and Canadian clients working with the North America legal team. You will also assist the Group General Counsel with legal matters relating to our global key accounts among other matters as needed.
Location : This is a hybrid role with the expectation of being in our Manhattan office (MetLife Building) 2-3 days per week and will report directly to the Group General Counsel.
What you can expect to be doing :
- Review, draft and negotiate client and vendor contracts, RFPs, NDAs, DPAs, consulting agreements and any other commercial agreement relating to the company's provision of services.
- Work closely with client service teams to resolve legal issues related to commercial relationships between Ipsos and its clients
Provide advice and support to the business teams on all matters relating to data privacy and security including :
personal data of users, consumers, employees and third-partiesdata privacy requirements for websites, social media, apps, connected products, e-commerce, customer relationship management and the business teams' various products and servicesall laws relating to data privacy and security, in the various jurisdictions in which the business teams operate including the U.S. (e.g., HIPAA, CCPA / CPRA, GLBA, CAN-SPAM, COPPA), Canada (e.g., PIPEDA, CASL), and the EU (the GDPR and the ePrivacy Directive).Create and improve our standard forms, processes and policiesLead trainings of internal business teams on contractual terms, compliance with relevant corporate policies, applicable laws, and industry codes of conductAssist with a variety of other day-to-day legal matters as neededCollaborate with Group legal department on Americas-wide and global projectsThis might be the job for you if you have :
Bachelor's Degree and J.D. degree from accredited institutions requiredA minimum of 5 years' experience working on commercial contracts in a law firm or mix of law firm and in-house rolesExcellent written and oral communication skillsStrong negotiation abilitiesExcellent time management and organizational skills with the ability to work efficiently and productivelyAbility to willingly accept coaching and feedback as you develop in the roleAbility to work effectively with management team and outside legal, financial and commercial advisorsAbility to quickly learn to identify, comprehend and assess the legal issues that are specific to the market research industryInteract with local and regional leadership with a positive, approachable attitude, and with the capability to appropriately push back when requiredConfidence to take action and make decisions within the parameters of authority set by the Group General CounselPassion for the job and for protecting IpsosA high level of flexibility and initiativeSense of ownership of responsibilitiesAbility to remain calm and focused in high-pressure situationsExcellent interpersonal skills, which are necessary for effective development and maintenance of internal and external client relationshipsAbility to maintain confidentiality and assist on sensitive matters with discretionNice to have :
CIPP / E and CIPP / US certificationExperience and / or knowledge of intellectual property (copyrights, patents and trademarks) and promotions (advertising pre-publication review, contests and sweepstakes)Mergers and acquisitions experienceData privacy experienceExperience with HR or real estate mattersExperience in the market research industry is beneficial but not requiredThe salary range for this role in New York, NY is $230,000 to $245,000. Your final base salary will be determined based on several factors which may include but are not limited to work experience, skills, knowledge, education and / or certifications.
