Location : Redondo Beach

Compensation : $180,000 - $220,000 / year

Description

As Corporate & Commercial Counsel at Impulse, you will partner closely with our finance and executive teams on all corporate and securities law matters, including board and corporate governance, corporate transactions, and equity administration. Reporting to the VP for Regulatory & Government Affairs, you will also partner closely with our Associate General Counsel, supply chain and business teams to build and strengthen relationships with our vendors and business partners, including advising on sourcing strategies, negotiating contracts, and managing disputes.

NOTE : This position requires being on-site at our Redondo Beach facility in Los Angeles

Responsibilities

  • Handle all corporate and securities law matters, including corporate governance issues, entity management, and compliance with securities laws and regulations.
  • Serve as lead in-house corporate counsel, including managing outside counsel, on all corporate transactions, including secondary and primary financing transactions and M&A.
  • Oversee equity plan administration, including capitalization table management.
  • Collaborate with our Associate General Counsel (Commercial), Finance, Accounting, People, and executive teams on staying compliant with internal Impulse policies and external contractual and regulatory compliance requirements, as well as support improving processes and policies.
  • Support, as needed, Impulse supply chain and business teams to manage the full life cycle of our vendor contracts.
  • Advise business stakeholders on legal and commercial risks associated with all phases of our vendor relationships, from sourcing to wind down, in collaboration with IP, regulatory, finance, logistics, and other business teams.

Minimum Qualifications

  • J.D. from an accredited legal program and member of the California bar in good standing
  • 4+ years of total experience supporting corporate and commercial transactions
  • Preferred Skills and Experience

  • 4+ years of demonstrated experience in aerospace, hardware, or manufacturing industries
  • 4+ years of demonstrated experience with employment and / or employee relations matters
  • 4+ years of demonstrated experience with accounting matters
  • In-house experience, especially in a startup environment
  • Compensation bands are determined by role, level, location, and alignment with market data. Individual level and base pay is determined on a case‑by‑case basis and may vary based on job‑related skills, education, experience, technical capabilities and internal equity. In addition to base salary, for full‑time hires, you may also be eligible for long‑term incentives, in the form of stock options , and access to medical, vision & dental coverage as well as access to a 401(k) retirement plan .

    Impulse Space’s spacecraft manufacturing business is subject to U.S. export regulations including the International Traffic in Arms Regulations (ITAR) and Export Administration Regulations (EAR). This position requires applicants to be either U.S. Persons (i.e., U.S. citizen, U.S. national, lawful permanent U.S. resident (green card holder), an individual granted asylum in the U.S., or an individual admitted in U.S. refugee status) or persons eligible to obtain an export license from the U.S. Departments of State, Commerce, or other applicable U.S. government agencies.
